Convention Premium — Private Circle

Updated 1 September 2026

A privileged annual relationship, designed to ensure continuity, priority availability, discretion and operational excellence.
12 months · Up to 220 days · Service depending on the formula selected

This Convention Premium defines the specific conditions applicable to the Private Circle annual packages offered by Elite Protection Driver, hereinafter referred to as "EPD".

It complements the General Terms and Conditions of Sale of Elite Protection Driver, hereinafter referred to as the "GTCS".

Private Circle constitutes an exclusive annual contractual relationship allowing the Client and their designated beneficiaries to access, depending on the package subscribed to, a service comprising a private chauffeur, coordination, accompaniment, a vehicle and, where requested, necessary and legally permissible, regulated Executive Protection services.

This Convention specifically defines the content and operation of Private Circle.

PART I — STRUCTURE OF PRIVATE CIRCLE

ARTICLE 1 – OBJECT

This Convention Premium defines the specific characteristics of the four Private Circle plans:

  • Signature;

  • Prestige;

  • Excellence;

  • Sovereign.

It specifies in particular:

  • the contractual duration;

  • the maximum number of days included;

  • the daily duration;

  • the number of designated beneficiaries;

  • the deployment procedures;

  • the simultaneity rules;

  • the vehicles;

  • the chauffeured services;

  • the regulated close protection services;

  • the specific benefits of each plan;

  • the additional services;

  • the financial conditions specific to Private Circle.

ARTICLE 2 — CONTRACTUAL TERM

Private Circle is concluded for a period of: twelve (12) months.

This period shall run from the effective date indicated in the final confirmation sent by EPD to the Client.

The contractual duration of twelve months is distinct from the number of days of mobilisation included in the package.

ARTICLE 3 — 220 DAYS OVER 12 MONTHS

Each Private Circle formula includes a maximum of:

220 days of mobilisation during the twelve-month contractual period.

Consequently:

12 months = duration of the Convention.

220 days = maximum volume of days included during these twelve months.

Private Circle does not, therefore, constitute a service of 365 days a year.

The 220 days constitute a global allocation attached to the Convention.

This allocation is shared among all designated beneficiaries.

Thus:

  • Prestige does not include 220 days per beneficiary;

  • Excellence does not include 220 days per beneficiary;

  • Sovereign does not include 220 days per beneficiary.

A Sovereign Convention comprising five beneficiaries retains a maximum global allocation of 220 days, and not 1,100 days.

ARTICLE 4 — UNUSED DAYS

Unused days upon expiry of the Convention Premium:

  • are non-refundable;

  • are not convertible into cash;

  • do not give rise to a credit note;

  • are not automatically transferable to a new contractual period.

Any exceptional transfer may only result from the express, written agreement of EPD.

PART II — THE PRIVATE CIRCLE FORMULAS

ARTICLE 5 — SIGNATURE

€149,000 excl. VAT / annual contractual period

The Signature formula includes:

  • up to 220 deployment days;

  • up to 10 hours of active service per day;

  • 1 designated beneficiary;

  • one main operational setup at any one time;

  • one operative;

  • use of the Client’s vehicle;

  • private chauffeur services;

  • when regulatory, professional, and operational conditions are met, the possibility of successively arranging close protection services with a fully licensed professional.

The Signature formula does not include the provision of a vehicle by EPD.

ARTICLE 6 — PRESTIGE

€179,000 excl. VAT / annual contractual period

The Prestige package includes:

  • up to 220 operational days;

  • up to 10 hours of active duty per day;

  • up to 2 designated beneficiaries;

  • one principal operational deployment at any one time;

  • one specialist;

  • a premium vehicle corresponding to the positioning of the package;

  • a vehicle standard with an indicative value equal to or greater than €30,000;

  • a private chauffeur service;

  • subject to regulatory, professional and operational conditions being met, the possibility of arranging successive Executive Protection deployments with a fully certified professional.

Beneficiaries share the same allocation of 220 days.

ARTICLE 7 — EXCELLENCE

€249,000 excl. VAT / annual contractual period

The Excellence package comprises:

  • up to 220 days of deployment;

  • up to 12 hours of coverage per day;

  • up to 3 designated beneficiaries;

  • one principal operational arrangement at any one time;

  • one operative;

  • one premium vehicle reflecting the stature of this package;

  • a vehicle standard with an indicative value equal to or exceeding €100,000;

  • private chauffeur service;

  • where regulatory, professional, and operational conditions are satisfied, the possibility to arrange Executive Protection successively with a duly licensed professional.

The beneficiaries share the same allocation of 220 days.

An exceptional extension to the number of beneficiaries may be considered by EPD.

This remains subject to:

  • prior approval;

  • operational feasibility;

  • availability;

  • and, where appropriate, risk assessment.

This may be subject to additional pricing, which will be communicated prior to confirmation.

ARTICLE 8 — SOVEREIGN

€359,000 excl. VAT / annual contractual period

The Sovereign option includes:

  • up to 220 days of deployment;

  • up to 14 hours of service per day;

  • up to 5 designated beneficiaries;

  • one principal operational deployment at any one time;

  • an exceptional vehicle matching the prestige of the option;

  • a vehicle standard with an indicative value of €250,000 or more;

  • a private chauffeur and a separate executive protection professional, deployed within the framework of the Sovereign service, subject to the legal, regulatory, and operational conditions applicable to regulated services for the mission;

  • a private concierge service within the limits provided for by this Convention Premium;

  • two Executive Motorcade days during the annual contractual period.

The five beneficiaries share the same annual allocation of 220 days.

The designation of five beneficiaries does not under any circumstances imply that five chauffeurs, five vehicles, or five simultaneous operational deployments are included.

PART III — BENEFICIARIES AND SIMULTANEITY

ARTICLE 9 — DESIGNATED BENEFICIARY

The number specified in each option corresponds exclusively to the maximum number of individuals who may be registered as beneficiaries of the Convention:

  • Signature: 1;

  • Prestige: up to 2;

  • Excellence: up to 3;

  • Sovereign: up to 5.

This number does not correspond to the number of operational systems simultaneously included.

ARTICLE 10 — A SINGLE MAIN ENGAGEMENT AT A TIME

Unless specifically stipulated and expressly accepted by EPD, each option comprises a single principal operational framework at any one time.

The number of designated beneficiaries therefore constitutes a shared right of access to the service, and not an automatic multiplication of the human and vehicular resources included.

ARTICLE 11 — SUCCESSIVE USE

Beneficiaries may use Private Circle successively.

For example:

An Excellence package may include three beneficiaries, A, B, and C.

A may be subject to an engagement one day, B on another, and C on a third.

All such uses are deducted from the same annual allocation of 220 days.

ARTICLE 12 — MULTIPLE BENEFICIARIES TOGETHER

Multiple beneficiaries may be accompanied simultaneously as part of the same arrangement when:

  • they undertake the same journey together;

  • the vehicle is suitable for their transport;

  • the personnel deployment remains appropriate;

  • no regulatory requirement or risk analysis necessitates reinforcement.

Such an engagement does not generate multiple day rates solely due to the presence of multiple beneficiaries.

ARTICLE 13 — DISTINCT SIMULTANEOUS REQUESTS

Where multiple beneficiaries simultaneously request distinct engagements requiring multiple arrangements, only one principal arrangement remains included within the formula, unless specifically agreed otherwise.

EPD may offer in addition:

  • a second chauffeur;

  • a second vehicle;

  • an additional APR officer;

  • a second complete arrangement;

  • any other necessary means.

These additional means are subject to availability and may incur supplementary billing.

Should multiple simultaneous requests be incompatible with the included arrangement, and no priority has been specified by the Client, the first mission definitively confirmed shall take precedence.

ARTICLE 14 — PERSONAL NATURE OF THE SERVICE

Private Circle is exclusively destined for designated beneficiaries.

The rights attached to the Convention Premium may not be:

  • resold;

  • sublet;

  • transferred to third parties;

  • marketed;

  • utilised as general transport credit.

A beneficiary may be accompanied by guests when they travel together, subject to device capacity.

The presence of a guest does not confer upon them the status of beneficiary.

ARTICLE 15 — CHANGE OF BENEFICIARY

Any permanent modification of a beneficiary is subject to the prior agreement of EPD.

EPD may request any information reasonably necessary for the organisation of the service and, where relevant, for the risk analysis.

The change of a beneficiary:

  • does not create a new annual allocation;

  • does not reset the days used;

  • does not extend the duration of the Convention.

EPD may refuse repetitive substitutions intended to circumvent the limitation on the number of beneficiaries.

PART IV — DAYS AND AMPLITUDES

ARTICLE 16 — DEFINITION OF A DAY OF MOBILISATION

A day of mobilisation corresponds to a day during which a confirmed Private Circle engagement is actively deployed. A short-duration service may therefore constitute a full day of mobilisation. Any unused hours within a given day do not constitute a rolling hourly credit.

ARTICLE 17 — MULTIPLE JOURNEYS WITHIN THE SAME DAY

Several journeys may be undertaken during the same day without generating multiple days when they:

  • fall under the same arrangement;

  • remain compatible with its organisation;

  • remain within the applicable time span.

ARTICLE 18 — THE MIDNIGHT HOUR

An ongoing mission commencing before midnight and continuing thereafter does not automatically constitute a second day. EPD assesses the engagement based upon actual operational continuity. A subsequent, distinct engagement occurring later may constitute a new day.

ARTICLE 19 — DAILY AMPLITUDE

The maximum daily service hours included are:

  • Signature: up to 10 hours;

  • Prestige: up to 10 hours;

  • Excellence: up to 12 hours;

  • Sovereign: up to 14 hours.

This period corresponds to total availability and not to continuous driving time.

Legal and regulatory obligations regarding working hours, driving time, breaks, and rest periods remain strictly applicable.

ARTICLE 20 — COMMENCEMENT OF THE AMPLITUDE

The service duration begins at the engagement time specified in the mission confirmation. Should the officer be present at the agreed time and the beneficiary is delayed, the waiting time shall be included within the service duration. When the delay is directly attributable to EPD, the corresponding time shall not be deducted from the Client’s contractual service duration.

ARTICLE 21 — EXCEEDING THE DAILY DUTY LIMIT

Any extension beyond the scheduled duration is:

  • subject to availability;

  • subject to compliance with the regulations applicable to personnel;

  • liable to require a replacement or reinforcement;

  • liable to incur additional billing.

EPD may refuse an extension should it be incompatible with regulations, the necessary rest period of personnel, or reasonable security requirements.

ARTICLE 22 — EXHAUSTION OF THE 220 DAYS

Should the 220 days be utilised before the end of the twelve-month term, the Convention remains legally in force until its expiry, but the allocation of included days is exhausted.

The Client may request additional days.

These are:

  • subject to availability;

  • subject to EPD validation;

  • invoiced separately.

The purchase of additional days does not initiate a new annual period.

PART V — RESERVATION AND AVAILABILITY

ARTICLE 23 — RESERVATION

Each engagement must be subject to a booking request. A request is only definitively secured upon confirmation by EPD. Consequently, the annual subscription does not exempt the client from reserving the specific days they require.

ARTICLE 24 — ANTICIPATION

The Client is invited to communicate their requirements at the earliest opportunity.

In particular, an early booking maximises:

  • availability;

  • the continuity of the service;

  • the availability of the preferred operative;

  • the choice of vehicle;

  • the preparation of any potential protection mission.

Urgent or late requests are treated with priority, subject to actual availability.

ARTICLE 25 — PRIORITY BUT NOT UNLIMITED AVAILABILITY

Private Circle benefits from a level of priority corresponding to its premium positioning. It does not, however, constitute an absolute guarantee of the immediate and permanent availability of a professional, a vehicle, or a specific system without prior reservation. EPD employs all reasonably necessary means to ensure the level of service subscribed to.

ARTICLE 26 — ABSENCE OF EXCLUSIVITY

Unless subject to a specific written engagement, Private Circle does not constitute:

  • the permanent assignment of a personal chauffeur;

  • the permanent assignment of an agent;

  • the exclusive reservation of a specific vehicle;

  • the reservation of a team for 365 days.

ARTICLE 27 — CONVENTION PREMIUM

Certain periods require heightened anticipation, notably:

  • Fashion Weeks;

  • Christmas;

  • New Year;

  • major sporting events;

  • international events;

  • summits;

  • festivals;

  • events generating significant pressure on premium resources.

EPD accords priority to Private Circle members, subject to actual availability.

Any resources exceeding the subscribed package may be subject to additional fees.

ARTICLE 28 — CANCELLATION AND NO-SHOW

Detailed cancellation policies are set forth in the General Terms and Conditions. A day confirmed and subsequently cancelled at short notice, or resulting in a no-show, may be deemed executed when the reserved resources have been effectively mobilised and cannot reasonably be reallocated. A day cancelled by EPD without an acceptable alternative solution shall not be deducted from the 220 days.

PART VI — PERSONNEL AND VEHICLES

ARTICLE 29 — CHOICE OR PREFERENCE OF OPERATIVE

Where the Client may select or indicate a preference for a specific operative, EPD shall endeavour to respect this preference.

Such selection does not, however, constitute an absolute guarantee of availability of the chosen individual.

EPD may substitute them with a professional possessing the appropriate qualifications, notably in the event of:

  • unavailability;

  • mandatory rest periods;

  • leave;

  • illness;

  • prior mission;

  • delay;

  • regulatory constraint;

  • unforeseen event;

  • operational or security necessity.

Such substitution shall not constitute a failure to perform the contract provided that the contractual level of service is maintained.

ARTICLE 30 — VEHICLE LEVEL

The vehicles presented on the website illustrate the standard of class and positioning of Private Circle.

Unless an engagement has been expressly concluded in writing regarding a specific vehicle, EPD guarantees a standard or category of vehicle.

EPD does not systematically guarantee:

  • a specific registration;

  • a specific VIN;

  • a specific model;

  • a specific colour;

  • a specific photographed vehicle.

ARTICLE 31 — VEHICLE SUBSTITUTION

EPD may substitute a vehicle, particularly in the event of:

  • maintenance;

  • repair;

  • breakdown;

  • accident or damage;

  • immobilisation;

  • unavailability;

  • operational necessity.

EPD prioritises a vehicle corresponding to the contractually agreed tier.

Where an exactly equivalent replacement is temporarily unavailable, EPD shall seek the most appropriate solution to ensure the continuity of the mission.

ARTICLE 32 — CLIENT VEHICLE

Where the chosen arrangement involves the use of the Client’s own vehicle, the Client guarantees in particular:

  • their authority to permit its operation;

  • its conformity;

  • its proper maintenance;

  • its safety;

  • the validity of all mandatory documentation;

  • the validity of its insurance coverage;

  • the compatibility of said insurance with the intended use.

EPD or the assigned operative may decline to drive any vehicle should its safety, conformity, or insurance coverage appear insufficiently established.

PART VII — CHAUFFEUR AND EXECUTIVE PROTECTION

ARTICLE 33 — DISTINCT ACTIVITIES

The operation of a vehicle and the physical protection of an individual constitute distinct functions. Regulated activities concerning the physical protection of persons are executed exclusively in accordance with the regulations applicable to private security activities.

ARTICLE 34 — OPERATIVE POSSESSING DUAL COMPETENCY

When a single operative possesses the qualifications and authorisations required for both driving and close protection, they may perform these functions successively, but never simultaneously. While driving, they act solely as a chauffeur. Once the driving has concluded and the vehicle is stationary, they may undertake an engagement of Executive Protection, provided that the conditions of the mission and their personal accreditations permit.

ARTICLE 35 — PROTECTION DURING TRAVEL

When protection must remain effectively maintained during the travel phase or when a risk analysis so requires, EPD may mandate a professional separate from the chauffeur.

The arrangement may notably include:

  • a chauffeur;

  • an APR agent;

  • several agents when necessary.

Resources exceeding the scope expressly included in the subscribed package may be subject to additional billing. For the Sovereign package, the private chauffeur and the separate Executive Protection professional provided for in Article 8 are part of the included arrangement.

ARTICLE 36 — REGULATED SECURITY ACTIVITIES

Regulated security services are exclusively performed by individuals and entities holding the requisite authorisations, professional cards, approvals, or clearances. EPD may, in particular, entrust these services to Protective Line or to any other duly authorised private security firm, selected according to the nature of the mission, its location, the required authorisations, availability, and operational requirements. The choice of the operating entity remains at the operational discretion of EPD, in strict compliance with applicable regulations.

ARTICLE 37 — ANALYSIS OF PRIVATE CIRCLE RISK

Any request incorporating a protective dimension may be subject to a preliminary or updated analysis.

This analysis may notably take into account:

  • the profile of the beneficiary;

  • their exposure;

  • the destination;

  • the venues frequented;

  • the events;

  • the schedules;

  • the itineraries;

  • the information provided;

  • any known incidents;

  • the identified threats;

  • the local context.

It may lead to an adaptation of the arrangements initially envisaged.

ARTICLE 38 — EVOLUTION OF RISK

The level of risk may evolve over the course of the twelve months.

A significant alteration may require:

  • additional personnel;

  • a dedicated chauffeur;

  • multiple officers;

  • multiple vehicles;

  • bespoke operational planning;

  • supplementary resources.

The annual fee for Private Circle does not constitute an engagement by EPD to assume, without financial limitation, any future increase in the level of risk.

Adjustments extending beyond the initial scope may be subject to a complementary proposal.

ARTICLE 39 — REFUSAL OF THE RECOMMENDED SYSTEM

Where EPD or the security provider concerned deems that a specific arrangement is necessary to comply with regulations or to allow for a reasonably safe execution of the mission, its implementation may constitute a condition of performance.

Should the Client refuse such an arrangement, EPD may:

  • adapt the mission;

  • suspend the mission;

  • decline the mission in question.

EPD is never bound to execute any arrangement that it considers unlawful, manifestly unsuitable, or incompatible with its professional obligations.

PART VIII — SPECIFIC SERVICES

ARTICLE 40 — EXECUTIVE MOTORCADE

Sovereign includes two Executive Motorcade days during the annual period.

These days are arranged:

  • upon reservation;

  • following a assessment of requirements;

  • subject to feasibility;

  • subject to availability;

  • in compliance with local regulations.

The composition of the motorcade depends notably on:

  • the number of beneficiaries;

  • the itinerary;

  • the required vehicles;

  • the level of protection;

  • the operational analysis;

  • local constraints.

The term Executive Motorcade does not guarantee a predetermined or unlimited number of vehicles, chauffeurs, or security professionals.

Exceptional expenses and resources reasonably exceeding the included arrangements may be subject to additional billing.

Unused Motorcade days are neither refundable nor automatically carried forward.

ARTICLE 41 — SOVEREIGN CONCIERGE

The Sovereign concierge desk represents a facilitation and coordination service.

It may notably pertain to:

  • hotels;

  • restaurants;

  • transportation;

  • reservations;

  • logistic organisation;

  • bespoke requests;

  • collection or delivery compatible with the scope of the service.

EPD does not guarantee:

  • securing a booking in a fully booked establishment;

  • access to a private event;

  • the availability of a product;

  • the acceptance of a request by a third party.

Third-party expenses remain the responsibility of the Client, unless agreed otherwise.

EPD may decline any request that is unlawful, hazardous, impossible, disproportionate, or without reasonable relation to the service offered.

ARTICLE 42 — INTERNATIONAL MISSIONS

Private Circle may be deployed internationally, subject to feasibility.

The organisation is notably contingent upon:

  • the applicable laws of the country;

  • the requisite authorisations;

  • the conditions of entry and stay;

  • the level of risk;

  • the availability of resources;

  • the local regulations applicable to security activities.

No regulated activity shall be executed in any territory where the necessary authorisations are not held or obtained.

Tickets, transport, accommodation, travel expenses, formalities, and supplementary resources may be subject to additional billing.

ARTICLE 43 — ADDITIONAL SERVICES

The following may notably be invoiced in addition:

  • additional chauffeur;

  • additional agent;

  • additional vehicle;

  • second simultaneous arrangement;

  • exceeded hours of service;

  • additional day beyond the 220 days;

  • extension of the number of beneficiaries;

  • international mission;

  • reinforcement linked to an evolving risk level;

  • third-party expenses;

  • specific services outside the scope.

Terms and rates are communicated prior to validation whenever circumstances permit.

PART IX — FINANCIAL CONDITIONS

ARTICLE 44 — CLIENT, PAYER AND BENEFICIARY

The Client is the natural or legal person entering into the Convention. The Payer is the person settling all or part of the Convention when different from the Client. The Beneficiary is the person designated to benefit from the services. These three capacities may belong to the same person or to different individuals.

ARTICLE 45 — REFERENCE RATES

As of the date of this version, the Private Circle rates are:

  • Signature: €149,000 excl. VAT;

  • Prestige: €179,000 excl. VAT;

  • Excellence: €249,000 excl. VAT;

  • Sovereign: €359,000 excl. VAT.

The contractually applicable price is that presented to the Client, accepted upon subscription, and confirmed by EPD.

ARTICLE 46 — PRICE GUARANTEE FOR THE CURRENT PERIOD

Subject to any direct legal, regulatory, or fiscal changes, the contractually agreed annual rate shall remain unchanged for the duration of the current twelve-month contract period. Any subsequent modification to the rates displayed on the EPD website will therefore not retroactively affect the rate already accepted for the current period.

ARTICLE 47 — TARIFF FREEDOM FOR NEW SUBSCRIPTIONS

EPD remains free to modify at any time for new subscriptions:

  • the pricing;

  • the tariff structure;

  • the packages;

  • their positioning;

  • their content;

  • their options;

  • their characteristics.

The tariff applicable to a new Client is that which is presented and accepted during their contractual journey.

A Client having previously subscribed to a different tariff holds no automatic right:

  • to alignment with a new, lower tariff;

  • to a refund of the difference;

  • to compensation;

  • to the preservation of a former tariff for a new period.

ARTICLE 48 — RATE APPLICABLE TO THE APR

The price applicable to a new contractual period may differ from that applied during the previous period.

The previous rate:

  • is not acquired;

  • is not guaranteed for subsequent years;

  • does not constitute a permanent rate attached to the Client.

EPD shall communicate the rate applicable upon renewal to the Client in accordance with the contractual conditions and applicable legal provisions.

The Client may then exercise their right of non-renewal under the applicable conditions.

ARTICLE 49 — EVOLUTION OF THE CONTENT OF THE PACKAGES

EPD may adapt the content of the Private Circle packages for new subscriptions and subsequent contractual periods.

In particular, EPD may:

  • add a package;

  • withdraw a package;

  • rename a package;

  • modify its benefits;

  • amend a vehicle threshold;

  • alter the number of beneficiaries;

  • adjust the operational windows;

  • modify or replace specific options;

  • develop Executive Motorcade or the concierge service;

  • reposition the commercial offering.

For any contractual period already commenced, the applicable specifications shall remain those of the contractually agreed version, unless otherwise agreed by the parties or required by applicable law or regulation.

ARTICLE 50 — PROMOTIONAL OFFERS OR SPECIAL CONDITIONS

Any discount, negotiated rate, exceptional benefit, commercial gesture, or promotional offer:

  • remains specific to the period for which it was granted;

  • does not constitute a vested right;

  • does not oblige EPD to renew it.

ARTICLE 51 — REGULATORY OR TAX DEVELOPMENTS

VAT and other mandatory levies are applied in accordance with the regulations in force. Any legal or regulatory amendment directly imposing a change in taxation may be passed on under the conditions provided for by the regulations. The applicable VAT is determined according to the actual nature of the engagement. Where several engagements fall under different regimes, their breakdown may be carried out in accordance with their actual nature.

ARTICLE 52 — TERMS OF PAYMENT

The price may, depending on the terms proposed and accepted, be settled:

  • annually;

  • quarterly;

  • monthly.

Instalment payment constitutes solely a payment term.

It does not transform the Convention Premium of twelve months into a monthly or quarterly subscription that can be freely terminated.

PART X — FORMATION AND LIFE OF THE CONTRACT

ARTICLE 53 — FINAL VALIDATION BY EPD

The selection of a formula or payment does not, on its own, constitute a definitive confirmation from Private Circle.

Any subscription remains subject to the express validation of EPD after examination of, in particular:

  • feasibility;

  • beneficiaries;

  • requirements;

  • availability;

  • operational constraints;

  • regulatory constraints;

  • the level of risk, where relevant.

The Convention becomes definitive after express confirmation by EPD.

Should a payment be processed and EPD ultimately declines the subscription, the matter shall be handled in accordance with the General Terms and Conditions of Sale and the applicable legal provisions.

ARTICLE 54 — COMMENCEMENT

Unless a different date is expressly agreed, operational commencement shall in principle take effect no earlier than 48 hours after:

  • contractual finalisation;

  • EPD validation;

  • settlement of the required instalment.

EPD may, by way of exception, accept a swifter engagement.

This acceptance shall not create any ongoing right to benefit from the same timeframe.

ARTICLE 55 — RENEWAL

The Convention is concluded for twelve months.

Where tacit renewal is provided for, it shall take effect in accordance with the GTC and applicable legal provisions.

Where the contractual notice period of three months applies, the Client may request non-renewal within this period, without prejudice to any mandatory legal provisions that may be more favourable to them.

Renewal constitutes a new contractual period, which may in particular be subject to:

  • the new Executive Protection rate;

  • the new version of the Convention;

  • the updated content of the formula;

  • the rules in force at the time of renewal.

These new conditions must be brought to the attention of the Client in accordance with the applicable rules before they become contractually binding.

ARTICLE 56 — EARLY TERMINATION

Private Circle constitutes an annual engagement.

Subject to the mandatory rights applicable to the Client, any early termination accepted by EPD shall notably entail:

  • the payment of sums already due;

  • the payment of services performed or initiated;

  • an indemnity corresponding to 40% of the remaining amount due until the end of the contractual period.

Mandatory legal rules applicable to consumers remain reserved.

ARTICLE 57 — EXCEPTIONAL SUSPENSION

The Convention Premium does not confer any automatic right to suspension.

EPD may, however, exceptionally and in writing, agree to a temporary adjustment or suspension in the event of grave or unique circumstances.

Such agreement shall specify:

  • its duration;

  • its effects on payments;

  • its effects on allocated days;

  • its effects on the contract's expiry.

An exceptional decision shall under no circumstances constitute a precedent for subsequent periods.

ARTICLE 58 — DEATH OR PERMANENT INCAPACITY

In the event of the death or permanent incapacity of the primary beneficiary, EPD shall review the situation in consultation with the Client or their representatives. Where alternative beneficiaries have been designated, a continuation or adaptation of the engagement may be considered. An early termination may also be agreed, depending on the circumstances and applicable legal rights.

ARTICLE 59 — REFUSAL OR SUSPENSION BY EPD

EPD may refuse, suspend or interrupt a mission, notably in the event of:

  • an unlawful request;

  • a failure of payment;

  • fraud or attempted fraud;

  • danger to an operative;

  • violent or severely inappropriate behaviour;

  • the deliberate withholding of key information;

  • refusal of an arrangement necessary for compliance or security;

  • misuse of the service;

  • a serious breach of contract.

EPD may refuse a specific mission without necessarily terminating Private Circle as a whole.

PART XI — CONFIDENTIALITY, PROOF AND PROTECTION

ARTICLE 60 — CONFIDENTIALITY

Confidentiality is an essential element of Private Circle.

EPD treats with discretion all information relating in particular to:

  • beneficiaries;

  • their entourage;

  • their schedules;

  • their destinations;

  • their residences;

  • their habits;

  • vehicles;

  • guests;

  • protection measures;

  • itineraries.

This information is only disclosed to those who reasonably need to know it to execute the engagement, or where required by law.

ARTICLE 61 — PERSONAL DATA

Personal data is processed in accordance with the EPD Privacy and Data Protection Policy.

Processing may, in particular, be necessary for:

  • identification;

  • booking;

  • the organisation of services;

  • security;

  • billing;

  • proof;

  • traceability;

  • complaint management;

  • the defence of EPD's rights.

ARTICLE 62 — CAPTURE AND RECORDINGS

Where recording or capturing devices are used, they are deployed in accordance with the applicable regulations. Where consent is required, it is obtained separately. No promotional use is made of a beneficiary's image without specific authorisation. The retention period is strictly limited to what is necessary for the intended purpose, subject notably to any incident, claim, legal obligation, or litigation.

ARTICLE 63 — EPD PASS

EPD may implement a secure traceability system, notably referred to as the EPD Pass.

It may take the form of:

  • a secure QR code;

  • a unique token;

  • an OTP code;

  • or an equivalent technology.

It may notably be used to record:

  • the booking;

  • the date;

  • the time of engagement;

  • the commencement of the mission;

  • certain operational validations;

  • the completion of the service.

An alternative method may be utilised in the event of technical impossibility.

ARTICLE 64 — PROOF OF PERFORMANCE

EPD may retain, in accordance with applicable legal conditions, the elements necessary to prove:

  • the reservation;

  • the rate;

  • the package;

  • the payment;

  • the eventual authentication of payment;

  • the accepted GTC;

  • the accepted Convention Premium;

  • the necessary consents;

  • the EPD confirmation;

  • the engagement;

  • the execution;

  • the end of the mission.

The use of such elements contributes to the proof of execution, yet does not deprive the Client of their right to submit a dispute should they deem it justified.

ARTICLE 65 — NON-SOLICITATION

For the duration of the Convention Premium and for twelve months following its termination, the Client undertakes, to the extent permitted by applicable law, not to bypass EPD in order to contract directly for identical or similar services with a professional introduced or assigned to them by EPD. Any derogation requires the prior written agreement of EPD.

ARTICLE 66 — DAMAGE AND CLEANING

Abnormal damage or soiling caused by:

  • the Client;

  • a beneficiary;

  • their guests;

may result in the reimbursement or billing of expenses reasonably incurred by EPD.

EPD vehicles are strictly non-smoking.

EPD may, in particular, bill the justified costs of:

  • specialist cleaning;

  • repair;

  • replacement;

  • restoration;

  • immobilisation directly linked to damage when objectively justified.

PART XII — FINAL PROVISIONS

ARTICLE 67 — EVOLUTION OF THE REGULATION

When a change in legislation, regulation, an administrative decision, or a professional obligation renders a service modality impossible or requires its adaptation, EPD may modify the organisation concerned to maintain the conformity of the engagement. Such an adaptation shall not have the effect of removing the mandatory rights of the Client.

ARTICLE 68 — FORCE MAJEURE AND EXCEPTIONAL CIRCUMSTANCES

Events satisfying the legal criteria of force majeure shall produce the effects provided for by law.

Exceptional circumstances may also necessitate an adaptation of the mission, notably:

  • road closures;

  • administrative restrictions;

  • security incidents;

  • significant civil unrest;

  • severe weather conditions;

  • impossibility of access;

  • decisions by a public authority.

Where reasonably practicable, EPD shall seek an appropriate alternative solution.

ARTICLE 69 — RIGHT OF WITHDRAWAL

Where the Client legally benefits from a right of cancellation, the applicable conditions are those stipulated by the regulations, the GTCs, and the Cancellation & Refund page of the EPD website. Where the Client expressly requests the commencement of the engagement prior to the expiry of the statutory cancellation period, the consequences of such request shall be those provided for by the applicable law. No provision of the present Convention shall deprive a consumer of any mandatory statutory right.

ARTICLE 70 — CONTRACTUAL HIERARCHY

The Private Circle relationship is governed by the following order of priority:

  1. any specific conditions expressly accepted for the Client;

  2. this Convention Premium Private Circle;

  3. the EPD General Terms and Conditions of Sale;

  4. other policies or contractual documents referred to herein.

Where a contradiction relates specifically to the operation or content of Private Circle, the specific conditions and subsequently the Convention Premium shall prevail over the General Terms and Conditions.

Mandatory legal provisions shall always take precedence.

ARTICLE 71 — APPLICABLE VERSION

The version applicable to the Client is that which they accepted upon subscription or renewal.

The subsequent publication of a new Convention Premium on the website does not retroactively modify the contractually applicable version for a period already commenced, unless otherwise agreed by the parties or required by law.

EPD may publish and utilise new versions for:

  • new Clients;

  • new subscriptions;

  • future renewals.

ARTICLE 72 — RETENTION OF THE ACCEPTED VERSION

EPD retains the elements allowing identification of, in particular:

  • the version number or date;

  • the content of the accepted Convention;

  • the accepted rate;

  • the accepted package;

  • the date and time of acceptance.

The subsequent display of a different version on the site does not erase the previously accepted version.

Prior to the conclusion of Private Circle, the Client must be able to consult:

  • the Convention Premium;

  • the General Terms and Conditions of Sale;

  • the Privacy Policy;

The Client must be able to retain or reproduce the applicable documents on a durable medium.

ARTICLE 74 — APPLICABLE LAW AND DISPUTES

This Convention is governed by French law. In the event of a dispute, the parties are invited to seek an amicable resolution in the first instance. Where the Client has the status of a consumer, they shall benefit from the applicable rules, notably regarding consumer mediation and jurisdiction. In relations between professionals, the rules set forth in the General Terms and Conditions of Sale shall apply within the limits authorised by law.
