General Terms and Conditions of Sale
Updated 26 July 2026
ARTICLE 1 – IDENTITY OF THE SERVICE PROVIDER
These General Terms and Conditions of Sale, hereinafter the "GTCS", govern the contractual relationship between:
ELITE PROTECTION DRIVER, a simplified joint-stock company with a share capital of 1,800 Euros, whose registered office is located at 60 rue François Ier, 75008 Paris, registered with the Paris Trade and Companies Register under number 989 045 190, intra-Community VAT number FR60 989045190, hereinafter referred to as "EPD",
and any natural or legal person requesting or ordering a service offered by EPD, hereinafter referred to as the "Client".
Where the actual beneficiary of the service is different from the Client who placed the order, this person shall be referred to as the "Beneficiary".
ARTICLE 2 – PURPOSE AND SCOPE OF APPLICATION
These General Terms and Conditions define the conditions under which EPD proposes, organises and coordinates its executive mobility provisions, as well as the complementary services that may contribute to the security, protection, confidentiality and overall quality of the engagement.
They apply in particular to the following universes:
Private Missions;
Executive Mobility;
Executive Protection;
Residential & Asset Security;
Private Circle.
The exact nature of each provision is determined by the order, the configurator, the estimate, the mission confirmation, any specific terms and conditions and, for Private Circle, the applicable Convention Premium.
ARTICLE 3 – ONE-OFF SERVICES AND PRIVATE CIRCLE
3.1 — One-off services
One-off services correspond to missions ordered for a specific intervention, duration, or defined need.
These notably include Private Missions as well as one-off services within the Executive Mobility, Executive Protection, and Residential & Asset Security universes.
They are subject to their own specific rates and conditions.
3.2 — Private Circle
Private Circle constitutes an annual contractual relationship governed primarily by a Convention Premium.
The rates, advantages, availabilities, and conditions granted under Private Circle cannot be transposed to one-off services.
Conversely, the rates and conditions proposed for one-off services do not alter the conditions of a Convention Premium.
ARTICLE 4 – CONTRACTUAL HIERARCHY
In the event of any contradiction between contractual documents, the following order of priority shall apply, unless expressly stipulated otherwise:
addenda and special conditions expressly accepted;
Convention Premium applicable to Private Circle;
quotation or confirmation of mission;
these General Terms and Conditions;
general information on the website.
ARTICLE 5 – EXECUTIVE MOBILITY
Executive Mobility refers to the executive mobility services offered or arranged by EPD.
Depending on the service ordered, the engagement may notably include a chauffeur, a vehicle corresponding to the selected category, journey preparation, route management, meet-and-greet, logistical coordination and any additional services expressly agreed upon.
Unless a written commitment is made regarding a precisely identified vehicle, EPD commits to a vehicle category or class, and not to the absolute availability of a specific model, engine type, registration number, colour or configuration.
Should operational necessity arise, EPD may deploy a vehicle of an equivalent or superior category.
ARTICLE 6 – EXECUTIVE PROTECTION AND REGULATED ACTIVITIES
Activities falling under regulated private security are executed exclusively in accordance with Book VI of the Internal Security Code and applicable regulatory provisions.
When a service requires the exercise of a regulated activity, it is entrusted to professionals and/or companies holding the requisite authorisations, approvals, professional cards, and credentials.
EPD ensures, depending on the chosen contractual configuration, the organisation and coordination of the engagement without presenting as directly executed by itself any regulated activity requiring an authorisation it does not possess.
ARTICLE 7 – FUNCTIONAL SEGREGATION BETWEEN CHAUFFEUR AND APR
The driving and physical personal protection functions are legally and operationally distinct.
When a mission requires both functions, they are not performed simultaneously by the same individual.
However, when the same operative possesses the necessary qualifications, authorisations, and clearances, they may successively perform the duties of driver and Executive Protection agent during the course of a single mission.
Whilst driving, the operative acts exclusively in the capacity of a driver.
Once the driving phase is completed and the vehicle is stationary, they may assume their Executive Protection agent function when regulatory and operational conditions permit.
When distinct physical protection must be provided during travel, or when the risk assessment demands it, an APR separate from the driver may be required.
EPD may condition the confirmation of the mission upon this configuration.
ARTICLE 8 – PRIOR ANALYSIS OF THE MISSION
Every request may be subject to a preliminary analysis focusing particularly on:
the locations;
the timings;
the duration;
the itinerary;
the number of guests;
the level of exposure or risk;
access conditions;
the resources requested;
logistical constraints;
the planned movements;
any relevant circumstance.
The configuration initially requested does not necessarily constitute the final operational arrangement.
EPD may recommend or condition the confirmation of a mission upon additional human, material or organisational resources.
Any corresponding additional costs are brought to the Client's attention prior to acceptance.
ARTICLE 9 – OPERATIONAL AUTHORITY AND SECURITY
Should a situation so require to ensure the safety of individuals, comply with regulations, or preserve the feasibility of the mission, the operating professionals may reasonably adapt, in particular:
a route;
a point of engagement or drop-off;
a schedule;
an access point;
the organisation of a journey;
certain operational arrangements.
The Client may not impose the execution of any act that is illegal, hazardous, incompatible with the professional obligations of the operator, or exceeding their authority.
A refusal to comply with such an instruction shall not constitute a breach of contract.
ARTICLE 10 – REFUSAL OR INTERRUPTION OF A MISSION
EPD may refuse to confirm or, where circumstances warrant, interrupt a mission when the necessary conditions for its execution under satisfactory requirements of legality, security, compliance, or quality are not met.
This may notably concern:
insufficient or manifestly inaccurate information;
a risk incompatible with the resources that can be deployed;
an unlawful request;
dangerous behaviour;
a regulatory impossibility;
the inability to deploy the necessary resources.
The financial consequences are determined according to the origin and timing of the impossibility, and in accordance with the applicable mandatory provisions.
ARTICLE 11 – SERVICE PROVIDERS, PARTNERS AND ASSOCIATES
EPD may call upon service providers, partners or specialised companies whenever the execution of the service so requires.
When an intervention falls under a regulated private security activity, it is entrusted exclusively to professionals and/or structures holding the required authorisations and credentials.
EPD selects its partners according to criteria of compliance, professionalism, experience, presentation, discretion and quality compatible with the standards of the Maison.
ARTICLE 12 – CLIENT, PAYER AND BENEFICIARY
The individual having entered into the agreement with EPD shall remain the contracting Client and shall be liable for all corresponding obligations, notably financial, even when the service is provided to another beneficiary.
Where a corporate entity, a family office, a concierge service, a Maison, an agency, or any other intermediary places an order on behalf of a Beneficiary, the obligations of the contracting Client remain unchanged unless agreed otherwise in writing.
ARTICLE 13 – INFORMATION PROVIDED BY THE CLIENT
The Client guarantees the accuracy and completeness of the information necessary for the organisation of the mission.
They shall inform EPD of any circumstance likely to significantly affect the feasibility, security or organisation of the service.
EPD cannot be held liable for consequences directly attributable to false, incomplete, withheld or belatedly disclosed information, subject to mandatory statutory provisions.
ARTICLE 14 – ORDERING AND FULL PAYMENT
Unless specific provisions apply to Private Circle or are stipulated in a quotation or specific terms, payment of 100% of the price is due upon ordering.
The Client selects the desired service and options, reviews the corresponding price, and accepts the applicable contractual documents before proceeding to payment.
Sums paid at the time of ordering constitute advance payment for the requested service and are not deemed a deposit, subject to applicable mandatory statutory provisions.
Full payment allows the request to be registered and processed by EPD.
Payment alone does not constitute definitive confirmation of the engagement of the mission.
ARTICLE 15 – OPERATIONAL VALIDATION BY EPD
Upon receipt and registration of payment, EPD shall proceed with the operational validation of the request.
This validation may notably encompass:
the availability of the necessary resources;
the feasibility of the mission;
the schedules and locations;
logistical constraints;
the availability of the vehicle or the corresponding category;
the availability of the operatives;
risk assessment, where deemed necessary;
and, for regulated activities, the ability to mobilise the appropriate authorised professionals or entities.
The mission is definitively subject to engagement by EPD only upon transmission to the Client of an express mission confirmation.
Pending the dispatch of this confirmation, the payment received shall not be construed as a definitive confirmation of engagement.
ARTICLE 16 – NON-CONFIRMATION AND FULL REFUND
When EPD cannot confirm a request after its payment, the entirety of the sums received for the unconfirmed service is refunded to the Client, free of charge.
The refund is made via the original payment method whenever technically possible.
EPD may also offer the Client a modification of the service, a new configuration, another date, or an alternative solution.
This solution may only replace the refund upon the express acceptance of the Client.
The non-confirmation does not give rise to any penalty or additional compensation, subject to mandatory legal provisions and liabilities that cannot be legally excluded.
ARTICLE 17 – FINALISATION AND MISSION CONFIRMATION
Following operational validation, EPD shall issue a mission confirmation to the Client.
This confirmation materialises the definitive engagement of the mission in accordance with the specified characteristics.
From the moment of this confirmation, the rules relating notably to amendments, cancellations, delays, no-shows, and fees applicable to the service shall take effect.
The mission confirmation is retained alongside the other contractual elements pertaining to the order.
ARTICLE 18 – PROOF AND TRACEABILITY
Orders, payments, quotes, confirmations, invoices, selected configurations, requests, electronic exchanges, validations and other documents relating to the contractual relationship may be retained in accordance with regulations.
These elements, particularly when dated or timestamped, may be produced as evidence in accordance with applicable law.
ARTICLE 19 – FEES
The applicable prices are those indicated at the time of order, within the configurator, the estimate, the confirmation of mission, or the Convention Premium.
They may notably depend on the duration, hours, number of personnel, vehicle category, distance, location, specific constraints, resources deployed, and selected options.
The rates for occasional services are independent of the rates and advantages applicable to Private Circle.
ARTICLE 20 – VAT
Prices exclude taxes and are subject to VAT at the legally applicable rate for each category of service.
Where an order comprises multiple services subject to distinct tax treatments, their treatment and, if applicable, their breakdown are determined in accordance with the relevant tax regulations.
ARTICLE 21 – ADDITIONAL CHARGES
The following may be invoiced in particular when not expressly included:
tolls;
parking;
special access fees;
repositioning;
travel tickets required for the mission;
accommodation;
meals or allowances applicable to the teams;
special permits;
expenses incurred at the Client's request;
other expenses reasonably necessary for the mission.
When the amount is foreseeable and significant, the Client shall be informed in advance.
ARTICLE 22 – AMENDMENT OF A MISSION
Any significant modification to a confirmed mission is subject to the agreement of EPD.
A change in schedule, duration, itinerary, number of persons, operatives, vehicle, destination or operational constraints may result in a modification of the price.
The Client shall be informed of the anticipated additional cost prior to its implementation, whenever circumstances reasonably permit.
ARTICLE 23 – DELAY, WAITING TIME AND EXTENSION
The Client and the Beneficiary must respect the agreed times.
Waiting times exceeding that which is included in the service may be subject to additional billing.
Any extension is subject to the availability of the personnel and may be subject to additional billing.
EPD does not guarantee that an extension can systematically be accommodated.
ARTICLE 24 – ABSENCE — NO-SHOW
Should the Client or Beneficiary fail to present themselves at the agreed time and location, the waiting period specified in the confirmation or the special conditions shall apply.
EPD shall use reasonable endeavours to contact the Client.
Upon expiry of the applicable period, and in the absence of a response permitting the continuation of the mission, the latter may be deemed unfulfilled due to the Client.
ARTICLE 25 – CANCELLATION OF AD HOC SERVICES
Following confirmation of the mission, the financial terms of cancellation are those brought to the Client’s attention prior to booking or indicated within the quotation or confirmation.
These may depend in particular upon:
the period of notice prior to the mission;
the resources reserved;
the expenses incurred;
the feasibility of reallocating resources;
the nature of the service.
The statutory rights of consumers remain unaffected.
ARTICLE 26 – OPERATIONAL SUBSTITUTION
In the event of a breakdown, illness, unforeseen unavailability, operational event, security requirement, or reasonably justified circumstance, EPD may replace a chauffeur, operative, vehicle, or material resource.
The replacement must possess the characteristics necessary for the engagement.
For vehicles, EPD prioritises an equivalent or superior category, subject to availability.
ARTICLE 27 – CIRCULATION, ROUTES AND SCHEDULES
EPD shall exercise reasonable diligence to anticipate travel requirements and respect scheduled itineraries.
Save for an express engagement, an estimated arrival time does not constitute an absolute guarantee.
EPD does not guarantee the absence of consequences arising in particular from traffic, accidents, road closures, security checks, demonstrations, weather conditions, access restrictions, or external disruptions reasonably beyond its control.
ARTICLE 28 – DAMAGE AND SPECIALIST CLEANING
The Client shall be liable, in accordance with applicable law, for any damage directly caused by themselves or by those for whom they are responsible to the vehicles or equipment.
The costs of exceptional cleaning directly necessitated by the conduct of the Client or the Beneficiary may be invoiced where they are actual and reasonably justifiable.
ARTICLE 29 – LUGGAGE, DOCUMENTS AND PERSONAL EFFECTS
The Client shall inform EPD in advance of any item requiring special handling, transport, security, or insurance conditions.
EPD reserves the right to refuse any item that is hazardous, illicit, regulated, or incompatible with the service.
The confidential transport of documents may be subject to prior study and specific terms.
ARTICLE 30 – INTERNATIONAL MISSIONS
Any mission outside France remains subject to the laws and regulations of the states concerned.
Services or resources authorised in France are not presumed to be authorised abroad.
EPD may adapt or refuse a configuration in order to comply with local regulations concerning, in particular, transport, private security, Executive Protection, vehicles, equipment, access, and authorisations.
The Client shall provide the documents, visas, and authorisations falling within their responsibility.
ARTICLE 31 – CONFIDENTIALITY
Confidentiality is an intrinsic standard of all EPD services.
Information regarding the Client, Beneficiary, itineraries, locations, habits or the organisation of the mission is communicated solely on a strict need-to-know basis.
This obligation shall not prevent disclosures required to comply with a legal or regulatory duty, to a competent authority, to the CNAPS when appropriate, to an insurer, or for the defence of a legal right.
ARTICLE 32 – ENHANCED CONFIDENTIALITY PROTOCOL
When proposed and agreed, a Convention Premium may provide for additional measures defined at the time of the order or in a specific document.
Standard confidentiality remains applicable independently of this option.
ARTICLE 33 – PERSONAL DATA — GDPR
EPD processes the data necessary for managing requests, orders, contractual relations, services, legal and regulatory obligations, operational security, incident handling and the defence of its rights.
Processing is carried out in accordance with the GDPR, the French Data Protection Act (Loi Informatique et Libertés) and applicable provisions.
Detailed information can be found in the EPD Privacy Policy.
ARTICLE 34 – PHOTO, VIDEO AND AUDIO CAPTURE FOR OPERATIONAL PURPOSES
Within the framework of certain missions, when necessary, justified, proportionate, and legally authorised, image-recording and, where permitted, sound-recording devices may be deployed.
These may notably serve the following purposes:
personal safety;
prevention or documentation of an incident;
establishment of facts;
claims management;
protection of personnel;
defence of rights.
Such devices may notably include cameras installed in or on a vehicle, body-worn cameras, or other recording equipment.
They may be used inside or, when necessary and legally authorised, outside the vehicle.
Under no circumstances is permanent, systematic, or disproportionate recording authorised.
ARTICLE 35 – INFORMATION REGARDING RECORDINGS
Acceptance of these General Terms and Conditions of Sale constitutes acknowledgement by the Client of having been informed of the possibility that certain recording devices may be used when legally authorised, necessary and proportionate.
This acceptance does not automatically constitute consent within the meaning of the GDPR when specific consent represents the required legal basis.
In such cases, the necessary consent is collected separately.
ARTICLE 36 – RETENTION AND ACCESS TO CAPTIONS
Operational recordings are retained for a limited duration compatible with their intended purpose.
When a recording is required for the analysis of an incident, a claim, a procedure or the defence of a legal right, it may be isolated and retained for the legally required duration.
Access is strictly restricted to authorised personnel.
ARTICLE 37 – COMMERCIAL USE OF THE IMAGE
Operational recordings are not used for advertising or promotional purposes solely by virtue of accepting the T&Cs.
Any identifiable use of a Client’s or Beneficiary’s image for commercial purposes shall, where required, be subject to separate authorisation or consent.
ARTICLE 38 – OBLIGATION OF MEANS AND SECURITY
Security or protection services do not constitute an absolute guarantee against risk, incidents, assaults or external events.
Our professionals deploy the resources, expertise and diligence appropriate to the mission.
ARTICLE 39 – LIABILITY
EPD meets its obligations in accordance with applicable law.
Its liability may not be engaged for damage directly attributable to a fault of the Client or Beneficiary, to erroneous or concealed information, to the unforeseeable and insurmountable act of a third party, or to an event of force majeure, subject to mandatory provisions.
No liability that cannot be legally limited is excluded.
ARTICLE 40 – INSURANCE
EPD maintains the legally required insurance cover for the activities it directly conducts.
Professionals or businesses operating in regulated sectors must hold the appropriate insurance coverage for their respective activities.
ARTICLE 41 – FORCE MAJEURE
Force majeure shall be construed in accordance with Article 1218 of the Civil Code and applicable case law.
Operational difficulties that do not meet the legal criteria for force majeure shall be addressed in accordance with the other provisions of these General Terms and Conditions.
ARTICLE 42 — PRIVATE CIRCLE — PRINCIPLES
Private Circle constitutes an annual contractual relationship governed primarily by a Convention Premium.
This Convention determines, in particular, the formula, the beneficiaries, the duration, the annual volume of availability, the timeframes, vehicles, services, financial terms, booking rules, renewal and termination.
ARTICLE 43 — PRIVATE CIRCLE — DURATION
Unless stipulated otherwise, Private Circle is concluded for twelve months.
The terms of renewal, non-renewal, notice, and termination are determined by the Convention Premium.
ARTICLE 44 — PRIVATE CIRCLE — AVAILABILITY AND SCHEDULING
The formula determines the annual volume of availability and the applicable amplitude.
The notice periods and planning conditions are specified within the Convention Premium.
Unless otherwise stipulated, unused days or availability are neither refundable nor automatically carried over.
Annual availability does not constitute, unless by express engagement, a permanent and exclusive reservation of a specific professional or vehicle.
ARTICLE 45 — PRIVATE CIRCLE — OVERAGES
Any request exceeding the scope of the package may be subject to additional billing, a quotation or an amendment.
This applies in particular to excess hours, additional days, extra beneficiaries or resources, and services outside the original scope.
ARTICLE 46 — PRIVATE CIRCLE — PAYMENT
The financial terms are defined in the Convention Premium.
Payment may be annual, quarterly, or monthly where provided for.
In the event of non-payment, EPD may, subject to compliance with the applicable formalities, suspend new engagements pending regularisation.
ARTICLE 47 — PRIVATE CIRCLE — COMPLEMENTARY SERVICES
Additional protection services remain subject to the applicable regulations.
Their pricing may be specific to Private Circle and remains independent of that of one-off Private missions.
ARTICLE 48 — NON-SOLICITATION
Where this obligation is provided for in a Convention Premium or specific terms with a professional Client, the latter undertakes not to bypass EPD by directly soliciting the employees, operators or partners introduced to them.
Its duration, scope and consequences are defined in the relevant document and remain proportionate to the protected interests.
ARTICLE 49 — LATE PAYMENT — PROFESSIONAL CLIENTS
For corporate clients, any unpaid balance shall incur the legally applicable late payment penalties.
The statutory flat-rate indemnity of 40 euros for recovery costs shall also become payable under the regulatory conditions.
ARTICLE 50 — CONSUMER'S RIGHT OF WITHDRAWAL
Where the Client acts as a consumer and the contract is concluded at a distance or off-premises, they shall benefit from the right of withdrawal provided for by the Consumer Code, where applicable.
The statutory period is in principle fourteen days from the conclusion of the service contract.
Where the Client wishes the performance of the service to begin prior to the expiry of this period, they must make an express request to this effect under the conditions set forth by the regulations.
Where the consumer exercises their right of withdrawal after having requested the commencement of performance, the financial consequences shall be those provided for by the applicable regulations.
Once the service has been fully performed under the conditions legally resulting in the loss of the right of withdrawal, the latter may no longer be exercised.
Statutory exceptions remain applicable.
ARTICLE 51 — REQUEST FOR EXECUTION PRIOR TO THE EXPIRY OF THE RIGHT OF WITHDRAWAL
Where the requested date or time requires the service to commence prior to the expiry of the statutory cancellation period, the consumer Client is invited to expressly submit their request for such early commencement.
This request is collected separately during the booking process or by any other method allowing proof of such request to be preserved.
Where applicable regulations require a specific acknowledgement regarding the forfeiture of the right of cancellation once the service has been fully performed, this is likewise collected in accordance with the relevant provisions.
ARTICLE 52 — STANDARD CANCELLATION FORM

The Client shall provide the information necessary for their preparation.
ARTICLE 56 — RING-FENCING OF GROUP ENTITIES
The Client contracts exclusively with the legal entity identified as the contracting party in the applicable contractual document.
The membership of EPD within a group of Maisons or the coordinated intervention of multiple entities does not have the effect of making each of them a party to the contract.
PWR Group, the other Maisons and EPD's partners do not become contracting parties solely by virtue of their capital, commercial or operational relationship with EPD.
ARTICLE 57 — INTELLECTUAL PROPERTY
All brands, denominations, content, texts, visuals, documents, concepts, methods, and distinctive elements belonging to EPD or used under authorisation remain protected.
The order does not entail any transfer of these rights to the Client.

The invalidity or unenforceability of any provision shall not affect the validity of the remaining provisions to the fullest extent permitted by law.
ARTICLE 59 — NON-WAIVER
A delay in exercising a right shall not constitute a waiver thereof.
ARTICLE 60 — AMENDMENT OF THE TERMS AND CONDITIONS
EPD may amend these General Terms and Conditions to reflect, in particular, any legislative, regulatory, technical, or commercial developments.
The General Terms and Conditions applicable to an ad-hoc engagement are those accepted at the time of the order.
Any subsequent amendment shall not retroactively affect rights and obligations already acquired, unless otherwise agreed by the parties or required by law.
ARTICLE 61 — APPLICABLE LAW
These General Terms and Conditions are governed by French law.
The consumer Client retains the mandatory protections afforded to them under the applicable regulations.
ARTICLE 62 — DISPUTE RESOLUTION
The parties shall endeavour to seek an amicable resolution prior to any litigation proceedings.
For consumer Clients, the statutory rules of jurisdictional competence remain applicable.
For professional Clients, any clause conferring jurisdiction shall only take effect under legally authorised conditions and when it has been validly brought to their attention and accepted.
ARTICLE 63 — ACCEPTANCE OF THE TERMS AND CONDITIONS
The Client acknowledges having had the opportunity to review these General Terms and Conditions prior to commitment.
When placing an order online, they are invited to expressly accept them prior to validation.
Validation of the order implies acceptance of these General Terms and Conditions, subject to mandatory legal provisions.
This acceptance must be distinguished, where regulation so requires, from specific consents or requests necessary for certain processing activities or the early execution of a service.
